Terms and Conditions

1. Definitions

In these Terms and Conditions, the following terms shall have the meanings set out below:

• TraderNest: SHD Services, operating under the trade name TraderNest, registered in the Netherlands.
• Platform / Web Application: the TraderNest online software environment made available as Software-as-a-Service (SaaS).
• Website: www.tradernest.ai and any subdomains.
• Services: all services offered by TraderNest, including but not limited to trade journaling, analytics, dashboards, AI insights, reports, integrations and related functionalities.
• User / you: any natural person or legal entity using the Platform or Services.
• Consumer: a natural person acting outside the scope of a trade, business or profession.
• Account: a personal user account providing access to the Services.
• Subscription: the agreement under which the User gains access to the Services for a specified period.
• Content: any data, text, trades, notes, screenshots or other materials uploaded or generated by the User within the Platform.

If you are under 18 years of age, you may only use the Services with permission from a parent or legal guardian.

2. Applicability

• 2.1 These Terms and Conditions apply to all use of the Website, Platform and Services, and to all Subscriptions and agreements between TraderNest and the User.
• 2.2 These Terms apply to all Users worldwide, regardless of their country of residence. By using our Services, you agree to be bound by these Terms.
• 2.3 Deviations from these Terms are only valid if explicitly agreed in writing by TraderNest.
• 2.4 TraderNest may amend these Terms from time to time. The most recent version will always apply. Material changes will be communicated via the Platform, email or Website. Continued use after changes constitutes acceptance.
• 2.5 If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

3. Nature of the Services (No Financial Advice)

• 3.1 TraderNest provides tools for trade journaling, performance analysis, reporting and behavioral insights.
• 3.2 TraderNest does not provide investment advice, financial advice, trading signals or brokerage services.
• 3.3 All information, analytics and AI-generated insights are informational and educational only.
• 3.4 Any trading or investment decisions you make are entirely at your own risk and responsibility.
• 3.5 TraderNest does not qualify as an investment firm or financial service provider within the meaning of applicable financial supervision laws.

4. Account Registration and Security

• 4.1 To use the Services, you must create an Account and provide accurate, complete and up-to-date information.
• 4.2 You are responsible for maintaining the confidentiality of your login credentials. Passwords are securely hashed using Argon2id encryption.
• 4.3 You may not share your Account or grant access to third parties without explicit permission from TraderNest.
• 4.4 You are responsible for all activities performed through your Account.
• 4.5 TraderNest may suspend or terminate Accounts in case of misuse, fraud, security risks or violations of these Terms.

5. Acceptable Use

You agree not to:

• Use the Services for unlawful purposes;
• Circumvent security measures or access controls;
• Reverse engineer, decompile or copy the Platform or software;
• Use bots, scrapers or automated systems without written consent;
• Misuse referral or community features;
• Upload malicious, misleading or infringing content.

TraderNest reserves the right to take appropriate measures, including suspension or termination.

6. Subscriptions, Trial and Right of Withdrawal

• 6.1 Access to the Platform requires a paid Subscription (monthly or yearly), as indicated during sign-up.
• 6.2 Subscriptions automatically renew unless cancelled in time via the Account.
• 6.3 Free Plan: TraderNest offers a free plan with limited features. No credit card is required for the free plan. Paid plans unlock additional features and can be cancelled at any time.
• 6.4 Right of Withdrawal (Consumers): If you are a Consumer, you generally have the right to withdraw from the Subscription within fourteen (14) days after conclusion of the agreement.
• 6.5 If you expressly request immediate access to the Services during the withdrawal period, you acknowledge that the Services will start immediately and your right of withdrawal may lapse once the Services have been fully performed.
• 6.6 If you withdraw after requesting immediate performance but before full performance, TraderNest may charge a proportionate amount for the Services already provided.

7. Payments, Pricing and Refund Policy

• 7.1 Prices are displayed on the Website or within the Platform and include VAT unless stated otherwise.
• 7.2 Subscription fees are billed monthly or yearly in advance via the selected payment method. All payments are processed securely through Stripe.
• 7.3 All payments are final. No refunds will be provided, except where mandatory law requires otherwise.
• 7.4 Failure to pay may result in suspension or termination of the Account.
• 7.5 TraderNest may change pricing. New prices apply upon renewal.

8. Integrations, API Connections and Data Accuracy

• 8.1 TraderNest may offer integrations with third-party platforms (e.g. exchanges such as MEXC).
• 8.2 You are solely responsible for providing correct API keys or imported data, ensuring permissions are appropriate (preferably read-only), and verifying the accuracy of synced or imported data.
• 8.3 TraderNest is not responsible for errors or delays caused by third-party APIs, missing, duplicated or incorrect trade data, or downtime or changes imposed by external platforms.

9. AI Features

• 9.1 AI-powered features, including the AI Coach, are based on data patterns and probabilistic models.
• 9.2 AI outputs may be incomplete, incorrect or inaccurate.
• 9.3 AI features do not replace human judgment and do not constitute advice.

10. User Content and Data

• 10.1 You retain ownership of Content you upload. Your trading data is encrypted and stored securely.
• 10.2 You grant TraderNest a non-exclusive, worldwide, royalty-free license to use your Content solely to provide, maintain and improve the Services.
• 10.3 You are responsible for ensuring your Content does not infringe third-party rights.

11. Availability and Maintenance

• 11.1 TraderNest strives for high availability but does not guarantee uninterrupted or error-free operation.
• 11.2 Maintenance, updates or outages may occur.
• 11.3 TraderNest may modify, expand or discontinue parts of the Services.

12. Intellectual Property

• 12.1 All intellectual property rights related to the Platform, software, branding and content belong to TraderNest or its licensors.
• 12.2 You receive a limited, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

13. Liability

• 13.1 Use of the Services is entirely at your own risk.
• 13.2 TraderNest is not liable for indirect damages, loss of profits, data loss or trading losses.
• 13.3 TraderNest's total liability is limited to the amount paid by you for the Subscription during the preceding twelve (12) months.
• 13.4 These limitations do not apply in cases of intent or gross negligence.

14. Indemnification

You agree to indemnify TraderNest against claims arising from your use of the Services or violation of these Terms.

15. Force Majeure

TraderNest is not liable for failure to perform due to events beyond reasonable control, including outages, cyber incidents, governmental measures or third-party failures.

16. Termination

• 16.1 You may cancel your Subscription via your Account.
• 16.2 TraderNest may suspend or terminate Accounts in case of violations, misuse or legal obligations.
• 16.3 Upon termination, access to the Services will cease.

17. Governing Law and Jurisdiction

• 17.1 These Terms and all agreements are governed exclusively by Dutch law.
• 17.2 Any disputes shall be submitted to the competent court in the Netherlands, unless mandatory consumer law provides otherwise.
